We are offering SimCLIM: Lab to educators. If you wish to access the software for either your research or course work we advise you to contact your lecturer/professor to get it installed in a University Lab. They will need to visit this web site or get in touch with us to start the process.
We have worked with a number of universities to make SimCLIM available to students and we are standing by to assist in making it available at your institution too.
SimCLIM: Lab is designed for use in University labs.
We are offering SimCLIM: Lab at no cost for the first year, for use in a single computer lab. The package includes a global spatial dataset and one additional spatial dataset for your country.
Only universities not currently running a licensed version of SimCLIM are eligible.

SimCLIM Lab: SOFTWARE LICENCE AGREEMENT
Governing the Use of the “SimCLIM Lab” software in university and educational laboratories only and the software is licenced at no cost for the first 365 days (one year) and has a nominal licensing fee payable each year thereafter. The subsequent annual cost figure can be sent to you by emailing firstname.lastname@example.org and stating your name and University.
SimCLIM: Lab “no cost for the first year” offer is eligible to only new customers. Universities who have current or expired SimCLIM licences are ineligible.
If the licence is not renewed for a second year the software will cease to function and it must be uninstalled from the Lab computers. With continued licensing all updates as they are released including the transitions to CMIP6 data will be provided as part of this agreement.
Hereafter and for the purposes of this licence agreement SimCLIM for Desktop and SimCLIM for ArcGIS Climate and Marine are under the umbrella of SimCLIM: Lab.
This document constitutes the software licence agreement governing the use of the basic SimCLIM for Desktop software system and any SimCLIM-compatible models such as SimCLIM for ArcGIS/Climate and Marine that are additionally provided (in this agreement together called the SimCLIM for Desktop software package).
This agreement is between you (the LICENSEE), whether a University or educational institute and the LICENSOR or RIGHTHOLDER being the CLIMsystems Ltd., Hamilton, New Zealand. By downloading, installing and/or using the SimCLIM for Desktop software package, you agree to be bound by the terms of this agreement. If you do not agree to the terms of this agreement, do not use the software and promptly return this package and any accompanying items (including printed materials) to the place from which they were obtained.
1. Grant of Licence
The LICENSOR grants to the LICENSEE a nonexclusive and non-transferable license to use the SimCLIM for Desktop software package in object code form solely on a single computer owned or leased by the LICENSEE or otherwise embedded in equipment provided by the LICENSOR
2. Use of the Software
Use shall mean:
(a) That the software is either loaded in the temporary memory (RAM) of a computer or installed on the permanent memory of a computer (hard disk, CD Rom or other storage device) for the processing of the system instructions or statements contained in such software; (b) Utilising (but not copying) the instructional and/or operational manuals relating to the software.
3. Purpose of Uses
Applications that utilise any part of the SimCLIM for Desktop software, related materials or publications must acknowledge the use of the SimCLIM for Desktop system. Publications and materials should be referenced in an appropriate way. The SimCLIM for Desktop system should be referenced as: Warrick, R.; Ye, W.; Li, Y.; Dooley, M.; Urich, P, 2018: SimCLIM for Desktop: A Software System for Modelling the Impacts of Climate Variability and Change. 4. Limited Warranty and Disclaimer
4.1. The Rightholder guarantees that the Software will substantially perform according to the specifications and descriptions set forth in the user manual provided however that such limited warranty shall not apply to the following: (a) your computer’s deficiencies and related infringement for which Rightholder’s expressly disclaims any warranty responsibility; (b) malfunctions, defects, or failures resulting from misuse; abuse; accident; neglect; improper installation, operation or maintenance; theft; vandalism; acts of God; acts of terrorism; power failures or surges; casualty; alteration, non-permitted modification, or repairs by any party other than Rightholder; or any other third parties or Your actions or causes beyond Rightholder’s reasonable control; (c) any defect not made known by You to Rightholder as soon as practical after the defect first appears; and (d) incompatibility caused by hardware and/or software components installed on Your Computer.
4.2. You acknowledge, accept and agree that no software is error free and you are advised to back-up the Computer, with frequency and reliability suitable for you.
4.3. The Rightholder does not provide any guarantee that the Software will work correctly in case of violations of the terms described in the user manual or in this Agreement.
4.4. The Rightholder does not guarantee that the Software will work correctly if You do not regularly download Updates.
4.5. The Rightholder does not guarantee protection from the threats described in the user manual after the expiration of the period specified in Clauses 3.2 or 3.3 this Agreement or after the License to use the Software is terminated for any reason.
4.6. The software is provided "as is" and the Rightholder makes no representation and gives no warranty as to its use or performance. Except for any warranty, condition, representation or term the extent to which cannot be excluded or limited by applicable law the Rightholder and its partners make no warranty, condition, representation, or term (express or implied, whether by statute, common law, custom, usage or otherwise) as to any matter including, without limitation, non-infringement of third party rights, merchantability, satisfactory quality, integration, or applicability for a particular purpose. You assume all faults, and the entire risk as to performance and responsibility for selecting the software to achieve your intended results, and for the installation of, use of, and results obtained from the software. Without limiting the foregoing provisions, the Rightholder makes no representation and gives no warranty that the software will be error-free or free from interruptions or other failures or that the software will meet any or all your requirements whether or not disclosed to the Rightholder.
5. Exclusion and Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Rightholder or its partners be liable for any special, incidental, punitive, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits or confidential or other information, for business interruption, for loss of privacy, for corruption, damage and loss of data or programs, for failure to meet any duty including any statutory duty, duty of good faith or duty of reasonable care, for negligence, for economic loss, and for any other pecuniary or other loss whatsoever) arising out of or in any way related to the use of or inability to use the software, the provision of or failure to provide support or other services, information, software, and related content through the software or otherwise arising out of the use of the software, or otherwise under or in connection with any provision of this agreement, or arising out of any breach of contract or any tort (including negligence, misrepresentation, any strict liability obligation or duty), or any breach of statutory duty, or any breach of warranty of the Rightholder or any of its partners, even if the Rightholder or any partner has been advised of the possibility of such damages.
You agree that in the event the Rightholder and/or its partners are found liable, the liability of the Rightholder and/or its partners shall be limited by the costs of the software. In no case shall the liability of the Rightholder and/or its partners exceed the fees paid for the software to the Rightholder or the partner (as may be applicable).
Nothing in this agreement excludes or limits any claim for death and personal injury. Further in the event any disclaimer, exclusion or limitation in this agreement cannot be excluded or limited according to applicable law then only such disclaimer, exclusion or limitation shall not apply to you and you continue to be bound by all the remaining disclaimers, exclusions and limitations.
6. Restriction of Use
The LICENSEE shall not reverse engineer, decompile, disassemble, or otherwise reduce the software to any human perceivable form, modify, adapt, translate, rent, lease, transfer, loan, or create derivative works based upon the software or any part thereof without expressed written permission of CLIMsystems Ltd.
The LICENSEE shall not distribute, license, or otherwise transfer the SimCLIM for Desktop software or any part thereof to any other individual or institution without expressed written permission of CLIMsystems Ltd.
The LICENSEE acknowledges that all copyright and any other intellectual property rights subsisting in or used in connection with the SimCLIM for Desktop software package, including but not limited to all images, photographs, animations, video, audio, music and text incorporated into the software, and all documentation and manuals relating to the software, are owned by THE LICENSOR.
8. Licensee’s acknowledgments
Any data provided to THE LICENSEE as part of the SimCLIM for Desktop software package is licensed, not sold, to THE LICENSEE by THE LICENSOR and no right, title or interest in or to any trademark, service mark, logo or trade name of THE LICENSOR or its licensors is granted under this LICENCE. THE LICENSOR reserves all rights not expressly granted. The terms and conditions of this Licence will apply to any Software updates, provided to THE LICENSEE at THE LICENSOR's discretion, that replace and/ or supplement the original Software, unless such update contains a separate license. THE LICENSEE may not publish or provide the results of any benchmark or comparison tests run on the SimCLIM for Desktop software package to any third party without the prior written consent of THE LICENSOR.
9. Licensor's Liability
The SimCLIM for Desktop software package is provided by CLIMsystems Ltd. and CLIMsystems Ltd. gives no warranties, either expressed or implied, as to the software's suitability for any particular purpose, application or use, or as to the accuracy, completeness, timeliness, or correct sequencing of the data. CLIMsystems shall not be liable to the LICENSEE for any loss or damage whatsoever and expressly excludes liability for indirect, special, incidental or consequential loss or damage, howsoever caused, arising directly or indirectly in connection with this LICENCE, the SimCLIM for for Desktop software package, its use or otherwise, except to the extent that such liability may not be lawfully excluded under the applicable law.
10. Intellectual Property Ownership
10.1 You agree that the Software and the authorship, systems, ideas, methods of operation, documentation and other information contained in the Software, are proprietary intellectual property and/or the valuable trade secrets of the Rightholder or its partners and that the Rightholder and its partners, as applicable, are protected by civil and criminal law, and by the law of copyright, trade secret, trademark and patent of New Zealand, European Union and the United States, as well as other countries and international treaties. This Agreement does not grant to You any rights to the intellectual property including any the Trademarks or Service Marks of the Rightholder and/or its partners (Trademarks). You may use the Trademarks only insofar as to identify printed output produced by the Software in accordance with accepted trademark practice, including identification of the Trademark owner’s name. Such use of any Trademark does not give you any rights of ownership in that Trademark. The Rightholder and/or its partners own and retain all right, title, and interest in and to the Software, including without limitation any error corrections, enhancements, updates or other modifications to the Software, whether made by the Rightholder or any third party, and all copyrights, patents, trade secret rights, trademarks, and other intellectual property rights therein. Your possession, installation or use of the Software does not transfer to you any title to the intellectual property in the Software, and you will not acquire any rights to the Software except as expressly set forth in this Agreement. All copies of the Software made hereunder must contain the same proprietary notices that appear on and in the Software. Except as stated herein, this Agreement does not grant you any intellectual property rights in the Software and you acknowledge that the License, as further defined herein, granted under this Agreement only provides you with a right of limited use under the terms and conditions of this Agreement. Rightholder reserves all rights not expressly granted to you in this Agreement.
10.2 You acknowledge that the source code, activation code and/or license key file for the Software are proprietary to the Rightholder and constitutes trade secrets of the Rightholder. You agree not to modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software in any way.
10.3 You agree not to modify or alter the Software in any way. You may not remove or alter any copyright notices or other proprietary notices on any copies of the Software.
This LICENCE can be terminated by CLIMsystems Ltd., immediately and without notice from CLIMsystems Ltd., if in the opinion of CLIMsystems Ltd., the LICENSEE fails to comply with any provision of this LICENCE. Upon termination the LICENSEE shall destroy the software and any copies and all accompanying written materials.
12. Governing Law
This LICENCE shall be governed by and construed in accordance with the laws of New Zealand, as if performed wholly within New Zealand and without giving effect to the principles of conflict of law. If any portion hereof is found to be void or unenforceable, the remaining provisions of this LICENCE shall remain in full force and effect. This LICENCE constitutes the entire License between the parties with respect to the use of the Software.
